MASTER RESELL RIGHTS (MRR) & PRIVATE LABEL RIGHTS (PLR) LICENSE AGREEMENT

Licensor: Curated Press ("Licensor") Licensee: [Customer] ("Licensee")

By purchasing and/or downloading digital products from Licensor, Licensee agrees to the following terms and conditions:

1. GRANT OF LICENSE

Licensor grants Licensee a non-exclusive, transferable license to use, modify, and resell the digital product(s) according to the terms outlined in this agreement. The scope of Licensee’s rights depends on whether the product is purchased with Master Resell Rights (MRR) or Private Label Rights (PLR):

A. Master Resell Rights (MRR)

Licensee may:

  • Use the product(s) for personal or business use.

  • Resell the product(s) as-is to others.

  • Offer the product(s) as a standalone purchase or as part of a bundle.

  • Sell the product(s) with MRR included.

Licensee may NOT:

  • Modify or rebrand the product(s).

  • Claim authorship or copyright ownership.

  • Sell the product(s) with PLR (Private Label Rights) included.

  • Give away the product(s) for free, except as a lead magnet in exchange for an email address.

  • List the product(s) on marketplaces that allow unlimited free downloads (e.g., Creative Fabrica, Freepik, etc.).

B. Private Label Rights (PLR)

Licensee may:

  • Modify, rebrand, and customize the product(s).

  • Use the product(s) as content for their own business, website, or brand.

  • Resell the product(s) with MRR included, but NOT PLR.

  • Bundle the product(s) with other digital products.

  • Use the product(s) as part of paid membership sites or courses.

Licensee may NOT:

  • Sell or transfer the product(s) with PLR included (i.e., buyers cannot modify or rebrand them).

  • Give away the product(s) for free unless using it as a lead magnet in exchange for an email address.

  • Claim copyright ownership of the product(s).

  • Use the product(s) in a way that violates any applicable laws or regulations.

2. ATTRIBUTION & COPYRIGHT

All digital products remain the intellectual property of Licensor. Licensee may not claim authorship of the original design, structure, or content of the product(s). Attribution is not required but is appreciated.

3. PRICING & RESELL STRUCTURE

  • Licensee is responsible for setting their own resale pricing but must not sell the product(s) for less than [$1] USD.

  • Licensee may NOT use misleading, unethical, or deceptive marketing tactics to sell the product(s).

4. LIABILITY & INDEMNIFICATION

Licensor makes no guarantees regarding earnings, business performance, or market success of the product(s). Licensee agrees to indemnify and hold Licensor harmless from any claims, damages, or liabilities arising from the use or resale of the product(s).

5. TERMINATION OF LICENSE

This license will be revoked if Licensee is found violating any terms of this agreement. In such cases, Licensee must cease use and resale of the product(s) immediately, without entitlement to refunds.

6. GOVERNING LAW

This agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Florida.

By purchasing and using any MRR/PLR product from Licensor, Licensee acknowledges that they have read, understood, and agreed to this License Agreement.
